From the point of view of the CNS or the Central Nervous system, 
physiologically they are pretty similar.
However, in terms of Anatomy they do differ, when it comes to the higher 
nervous structures like the Brain.
In terms of general anatomy there are certain differences which are 
sometimes quite remarkable, such as the tongue and the eye, the skin, etc.
Pick up any general biology book and it will give a good account of the 
differences. Thence, they are placed with separate groups of animals.
