Rocks are formed from the breakdown of other rocks into soils and sediments that are transported by water, wind, gravity, etc. Anything in a low lying areas or lakes and seas can be buried. The depth will depend on the sediment supply. If the environmental conditions are right then the sediments will harden and all that is contained in them will be preserved.

Remember that land uplift due to tectonics or isostatic rebound will increase erosive forces over that area. It is a never ending process.
